• Account Actions: We reserve the right to suspend or terminate accounts that violate these Terms or present security risks.

You agree to use Skynyx AI strictly for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable local, state, national, or international law or regulation.
• Send unsolicited bulk messages (spam), misleading communications, or fraudulent message broadcasts in violation of messaging platform policies (e.g., Meta/WhatsApp Business policies).
• Upload, post, or transmit malware, viruses, trojans, ransomware, or malicious software code.
• Attempt unauthorized access to our servers, infrastructure, user databases, or connected third-party APIs.
• Interfere with, disrupt, or place unreasonable load on our website performance, infrastructure, or network stability.
• Scrape, reverse-engineer, decompile, or extract source code or software algorithms without express written authorization.
• Infringe upon the intellectual property rights, privacy rights, or proprietary rights of Skynyx Technologies Private Limited or any third party.
• Use the platform for unlawful, harmful, defamatory, abusive, or fraudulent activities.

Users may upload, submit, store, or transmit content through the platform (including message templates, bot scripts, images, contact lists, and automation payloads):

• Ownership: You retain all ownership rights and intellectual property in your submitted content.
• Operational License: You grant Skynyx AI a worldwide, non-exclusive, royalty-free license to store, process, transmit, and display your content solely as necessary to operate and deliver the services requested by you.
• User Responsibility: You are solely responsible for ensuring that you have all necessary rights, licenses, consents, and permissions to submit, process, and broadcast your content.

The Skynyx AI platform, including its original source code, software design, interface layouts, graphics, logos, trademarks, documentation, and underlying technology, is owned by or licensed to Skynyx Technologies Private Limited and is protected by intellectual property, trademark, and copyright laws.

Except for the limited right to access and use the platform under these Terms, no ownership rights, titles, or intellectual property rights are transferred to you.

Our platform integrates with third-party software, messaging infrastructure, and external APIs (such as Meta WhatsApp Cloud API). Your use of third-party services linked to or integrated with Skynyx AI may be subject to additional terms and privacy policies imposed by those respective third-party providers. We are not responsible for the performance, availability, or policies of third-party platforms.

If you subscribe to paid plans, features, or messaging capacity tiers on Skynyx AI:

• Pricing & Billing: Fees are billed in advance on a recurring subscription basis according to your chosen plan tier and billing cycle.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
• Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting support.
• Refunds: Unless explicitly agreed in writing or required by law, subscription fees paid are non-refundable.
• Taxes: All applicable taxes, duties, or governmental assessments are your responsibility unless included in the invoice.

We strive to provide reliable and consistent platform availability. However, we do not guarantee that the platform will be uninterrupted, continuous, timely, or error-free. Scheduled maintenance, emergency repairs, network outages, or third-party API disruptions may temporarily suspend platform access.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE Skynyx AI PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Skynyx Technologies Private Limited, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

You agree to defend, indemnify, and hold harmless Skynyx Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the platform, or your submitted user content.

We reserve the right to suspend, restrict, or terminate your access to Skynyx AI at any time, with or without prior notice, if we believe you have violated these Terms, engaged in unlawful behavior, or posed security or operational risks to our platform or other users. Upon termination, your right to use the platform immediately ceases.
